从九十年代初证券交易所成立以来,证券行业有了飞速的发展,证券公司数
量猛增到 120 家,上市公司数量不断增加,行业操作逐步规范,证券交易品种数
量不断丰富。但是,互联网金融的兴起、证券公司经纪业务的恶性竞争、市场不
景气等多方原因,使传统经纪业务陷入困局,许多以经纪业务为主的证券公司正
积极进行业务创新,谋求多元化发展,成功战略转型。因此,研究证券公司如何
进行创新改革是保证中国证券行业顺利进行产业升级的重要课题,也是保障中国
金融行业健康发展的重要内容。
证券公司进行创新可从多方面着手进行。首先是业务创新,证券公司的业务
主要分为零售业务、投行业务、资产管理业务以及场外市场业务,零售业务的创
新主要通过服务产品化,交易手段便利化以及交易所品种多元化等方面实现,投
行业务的创新首要条件是储备足够多的专业人才,这些专业人才将围绕企业投融
资业务提供个性化、定制化的专业服务,同时,证监会放松对投行业务的审批将
进一步促进投行业务创新,证券公司的资产管理业务分为对企业以及高净值客户
提供的专项资产管理业务和对中小投资者提供的标准资产管理业务,资产管理业
务的创新一方面体现在提供能够满足客户需求的定制化资产管理业务,另一方面
体现在能够丰富标准资产管理业务品种,满足广大中小投资者的资产管理需求。
为了促进和适应业务创新,证券公司的产权结构、内部组织结构以及业务流
程等方面都需要进行相应调整。本文通过分析证券公司的业务创新方向,引出对
证券公司内部管理创新的研究,并以 A证券公司为例,具体化本文的各项分析与
研究。认为证券公司的创新需要从业务创新、内部管理创新两方面着手,相互影
响、相互促进,保证公司内部充满活力与创新性,站在市场改革的前沿,把握主
动权。

ABSTRACT
Since the early 1900s when the stock exchange established, the securities industry
has developed rapidly, the number of securities companies soared to 120, the number of
listed companies is increasing, the industry gradually standardize the operation, the
number of securities transaction types are continuously enriched. However, because of
the rise of multi-party internet banking, the vicious competition in the securities
brokerage business and the market’s downturn, so that the traditional brokerage
business into a corner, and many of the securities brokerage business based company is
actively pursuing business innovation, seek diversified development, successful
strategic transformation . Therefore, how to study the reform of securities companies to
innovate is to ensure the smooth progress of Chinese securities industry important
issues of industrial upgrading, but also to protect an important part of the healthy
development of China's financial industry .
Securities firms to innovate can proceed in many ways . The first is business
innovation, the securities company's business is divided into the retail business,
investment banking, asset management business as well as the OTC market business,
retail business, mainly through innovative service products, trade facilitation, and means
of exchange and other aspects of species diversity to achieve innovation is the primary
condition for investment banking reserve enough professionals, these professionals will
focus on corporate investment and financing activities to provide personalized,
customized professional services, while relaxing on the Commission 's approval of
investment banking will further promote innovation and investment banking, special
asset management business of securities companies into the enterprise asset
management businesses and high net worth clients and asset management business
standards for small and medium investors to provide innovative asset management
business is reflected in one hand provides the ability to meet customer demand for
customized asset management business, on the other hand can enrich standards
embodied in the asset management business of varieties to meet the asset management
needs of medium and small investors.
In order to promote innovation and adaptation of business, securities companies,
ownership structure, internal organizational structure and business processes and other
aspects need to be adjusted accordinglyThe stock market is constantly changing, the
reaction rate determines the securities companies compete in the market to grasp the
initiative, requiring real-time adjustment of the Company's business processes, conduct
business process reengineering to ensure operational efficiency .This paper analyzes the
company's securities business innovation direction, leads research on the securities
company's internal management innovation, and A securities company, for example, the
analysis and research specific article . Innovation requires securities companies think
from business innovation, two aspects of internal management innovation, interaction,
mutual promotion and ensure that the internal dynamic and innovative company, at the
forefront of market reforms, seize the initiative.
