创投产业制度平台的构建与政府管理——基于交易费用角度的研究

摘 要
创业投资是我国目前较为前沿的一种投资方式，对我国经济的发展起到了越
来越大的作用。然而，创业投资产业在我国发展的历史已经超过了 20 年，在这 20
多年的发展历程中，我国创业投资产业始终无法形成一个类似美国创业投资产业
给美国带来“新经济”现象的蓬勃发展局面。研究是何种原因导致了这种现象的
发生无疑具有十分重要的学术价值和实用价值。
已有的微观层面上的研究大都是从创业投资企业与创业企业之间的两个委托
代理关系出发，来阐述创业投资产业的性质，从而指出创业投资产业发展所需的
制度平台。本文则从降低创业投资交易费用的角度出发，来说明创投所需的制度
平台，并分析了政府在构建创投制度平台时所应该有的角色和所应该发挥的作用。
本文首先从创业投资的性质出发，指出创业投资是以投资家与企业家之间签
订的一个合约为核心的一种投资。然后从投资家与创业家合约的缔结，执行，维
护三个方面阐述了创业投资过程中所遇到的交易费用。在合约的缔结过程中，由
于交易双方的信息不对称，投资家财务资本的“资产专用性”强的特征导致了缔
约过程中的交易费用的产生，投资家必须花费一定的成本去搜索、验证创业家的
相关信息，并设计复杂的合约保证不被创业家“敲竹杠”。在合约的执行过程中，
由于投资家的财务资本已经成为“资产专用性”极强的资产；创业家的人力资本
存在“可占用性准租”，因此，合约双方都有违约的机会主义倾向。为防止违约行
为的发生，“默示契约”，“明示契约”都可以发挥监督的作用。最后，在合约的维
护过程中，由于外部环境发生改变，创业企业需要更换企业家，以及创业投资需
要退出创业企业，这时候，有效的交易平台是减少交易费用的表现。
然后，我们从降低上文所分析的创投过程中的交易费用的角度出发，阐述了
创投产业健康发展所需要的各个制度平台以及他们的生成途径。认为在合约的缔
结过程中，会计师事务所、律师事务所、人才评价机构、信用评价机构，技术评
价机构等中介机构的存在有助于降低投资家对创业家的信息不对称，并帮助投资
家设计复杂的合约以防止机会主义行为的发生；在合约的执行过程中，行业协会
可以提高交易双方的“品牌”力量，加大机会主义的违约成本，政府作为独立第
三方以强制力维护合约的执行，也是抑制机会主义行为的重要方法；在合约的维
护过程中，要素交易平台包括人才交易市场、资本交易市场等的存在可以降低合
约维护过程中的交易费用。同时，我们认为，中介机构等制度平台的生成（行业
协会除外）主要靠市场内生的力量；政府维护合约的法律法规等制度平台的生成
主要靠外生的力量；行业协会以及要素市场等制度平台的生成主要靠半内生、半
外生的力量。接着我们着重分析了政府在这个制度平台构建中的角色与作用。认
为政府对内生的制度平台不能管，外生的制度平台必须管，半内生半外生的制度

平台则要合适的管。如果政府做的与之相反，错位、缺位、不到位，那么就会对
创投产业的发展带来极大的影响和危害。
接着，我们分析了我国创投产业发展中的一些现状和问题，指出了政府错位、
缺位、不到位的情况造成了目前创投业发展的不利局面。并分析了政府位置感缺
失的原因。
最后，我们根据前面的推导，从降低交易费用的角度，给出了促进我国创投
产业发展的相关对策建议。

ABSTRACT
In China venture investment is currently one of the more cutting-edge forms of
industry, and it has played an increasingly important role on China's economic
development. However, the history of Venture Capital’s development in our country
has been more than 20 years, in the course of its 20 years’ development, China's venture
capital has never been able to form a prosperous development situation that similar to
U.S. venture capital industry in the United States brought the "new economy"
phenomenon. Research which led to the reasons for this phenomenon is no doubt of
important academic value and practical value.
The existing micro-level studies are mostly from the two principal-agent
relationships betwwen venture capital companies and venture enterprises to study the
nature of the venture capital industry, pointing out the necessary institutional
environment that needed by the venture capital industry to develop.This article from the
point of view that to reduce the transaction costs from the process of venture capital to
illustrate the institution platform needeed by venture capital and then analysis of the role
of the government in the process of building venture capital institution platform.
This article first point out that the nature of venture capital is based on a contract
which the investors and entrepreneurs signed toghther from the nature of the the
firm.Then we express the transaction costs encountered in the process of the venture
capital investment from three aspects: agreement, implementation, maintenance. At the
conclusion of the contract, the two sides of the transaction due to information
asymmetry,the strong features of investor’s financial capital,led the transaction costs
creating in the procsss of contract agreement.Investors need to spend a certain
transaction costs to search, verification the information of the entrepreneur,and design
the complexity contract to ensure that they will not be “ripped off” by entrepreneurs.In
the course of the implementation of the contract,as the investors’ financial capital has
become a strong feature of “special asset”,the human capital of entrepreneurs has “of
occupied quasi-rent”.As a result,both sides of contact have the opportunistic
tendencies.In order to prevent the occurrence of non-compliance,”implied contract” and
“express contract” can play an oversight role.Finally,in the couese of the contract
maintenance ,as the external environment has changed ,entrepreneurs need to be
replaced,as well as the venture capital need to withdraw from the start ups.At this time,

an effective trading platform can reduce the trasaction costs.
Then,we point of view from the reducing the transaction costs in the process of the
venture capital which analysised by above words.We point out the each institutional
platform which needed by the heathy development of venture industry,as well as its
means of generating.And focus on the analysis of the role of the government in building
the institutional platform.We believe that the government don’t control the endogenous
institutional platform,must control the exogenous institutional platform, appropriate
control the half-endogenous and half-exogenous institutional platform.If the
government is doing the opposite,dislocation,lack of ,not in place ,it will give the great
impact and harm to the development of the venture capital.
Then,we analyzed the development of china’s venture capital industry in some of
the current sitution and problems ,and point out that for the government’s
dislocation,lack off,not in place,occuring the current unfavorable sitution of the
development of the venture capital.Then ,we analysis of the reason of the government’s
position sense lossing.
Finally ,according to the above,we give somen relevent policy recommendations
from the point of view to reduce the trancation costs.
