摘要

随着中国企业体制改革的发展，董事会角色有了重大转变，从原先的无足轻

重单元发展到如今的重要决策实体。因此，近30年来，国内外学者对董事会的探

讨十分活跃，该领域的研究取得了相当丰硕的成果。

过去，学者们一般通过委托代理理论和资源依赖理论这两条路径来探讨董事

会结构与企业绩效的关系。其中，基于委托代理理论研究路径的学者，主要考察

董事会监管激励与公司绩效的关系，因为这些学者将董事会看作公司治理结构的

重要组成部分，认为董事会的职能是代表股东利益，并监督管理层。另外，基于

资源依赖理论研究路径的学者，主要考察董事会的资本（人力资本、关系资本等）

与企业绩效的关系，因为这些学者将董事会看作是资源提供者。

董事会结构对公司战略影响的研究曾一度比较冷清。近年来，随着董事会对

总体战略影响的日益增强，学者们开始重视董事会结构对公司总体战略决策和实

施影响的研究。但是，董事会结构对公司战略影响的研究在国内外的发展都较缓

慢。尤其在我国，关于董事会结构对公司战略影响的研究还处于探索阶段，总体

来说，这些研究都存在一定的局限性，如，样本选取的行业太窄，不能普遍说明

问题；选用的指标过于单一，影响到研究结论的可靠性。

当理论界与实务界一致认同，战略发展对公司的成长、中小公司在我国社会

经济中发挥的作用都日趋重要的今天，全面而综合地探讨中小上市公司董事会结

构与公司战略的关系，董事会怎样影响多元化战略决策，这便成为一个迫在眉睫

的研究话题。因此，本研究深入到公司绩效的背后，探讨我国中小上市公司董事

会结构对多元化战略的影响，有助于加深我们对中小公司董事会的认识与理解，

进而完善其董事会结构。

本文选取 2008-2011 年中小企业板上市公司为样本，实证检验了我国中小上

市公司董事会结构对多元化战略的影响。结果显示：董事会规模、董事长与总经

理两职合一对多元化战略的影响为正；董事会成员的平均年龄对多元化战略有负

相关关系；独立董事比例与女性董事比例对多元化战略的影响不明显。

基于本文得出的主要结论，提出五大对策建议：①合理优化董事会规模；②

提高独立董事工作质量和工作效率；③优化董事会年龄结构与女性董事比例；④

董事会结构建设应与多元化战略相匹配；⑤董事会结构建设应有一个宽松的法制

环境。

本文的主要贡献如下：

首先，是选题上的创新。近 30 年来，国内外学者对董事会的研究愈加重视，

但是，董事会结构对公司战略影响的研究曾一度被学者们忽视。很少有学者会定

位于中小企业的情境来探讨董事会与战略问题，更少会细化到研究董事会结构与

多元化战略的关系。本文则定位于我国的中小企业，来研究董事会结构与多元化

战略的关系，更能反映我国中小上市公司董事会结构与多元化战略关系的现实情

况，也有利于完善中小上市公司的董事会结构。

其次，是实证变量选取上的创新。笔者在研究时，采用的董事会结构变量已

尽量纳入了国内外学者曾研究过及较少涉及的变量，特别是董事平均年龄这一指

标在以前的研究中几乎没有涉及。董事会成员的年龄段不同，他们所持的意见和

决策倾向会有所差别，年轻化的董事会做事效率和冒险精神在理论上都应好于老

年化的董事会，这必将影响公司多元化战略的选择与实施，将该变量也纳入研究

范围能在一定程度上增加实证解释力。

ABSTRACT

With the development of China’s enterprise reform, the role of the Board has

been a major shift from previous insignificant unit development to important

decision-making entity. Therefore, in the past 30 years, domestic and foreign scholars

pay more and more attention to research on Board, in which field has made fruitful.

In the past, scholars generally explore the relationship between Board structure

and corporate performance by two paths that principal-agent theory and resource

dependent theory. Based on principal-agent theory, scholars mainly study the

relationship between regulatory incentives of the Board and corporate performance.

The Board is seen as an important part of the corporate governance. The function of

the Board is to represent the interests of shareholders and oversee management. In

addition, based on resource dependent theory, scholars mainly study the relationship

between Capital that human capital and relationship capital of the Board and

corporate performance. The Board is seen as a resource provider.

Research on the impact of Board structure on corporate strategy once was

neglected by scholars. In recent years, with the increasing impact of the Board on

corporate overall strategy, scholars have begun to pay attention to the impact of the

Board structure on decision-making and implementation of corporate strategy.

However, research on the impact of Board structure on corporate strategy developed

slowly at home and abroad. Especially in China, the study on the impact of Board

structure on corporate strategy is still in the exploratory stage. Overall, these studies

have several limitations, such as, industry of sample selection is too narrow to

generally explain the problem and indicators are too single affecting the reliability of

conclusions of the study.

The theoretical and practical field agree with the increasingly importance of

strategy development to company’s growth and the role of small and medium-sized

companies in our socio-economic. To explore the relationship between Board

structure and company’s strategy of listed small and medium-sized enterprises

(referred to as SME), and how the Board influence the diversification strategy

decision comprehensively and complexly, which is an urgent research topic.

Therefore, this article, studying on the impact of the Board structure of listed small

and medium-sized enterprises (referred to as SME) on the selection and

implementation of the diversification strategy behind the corporate performance, is

conducive to a better understanding of the impact of the Board on company’s strategy

decision.

By selecting the samples of listed SMEs from 2008 to 2011, this article

empirically tests the influence of the Board structure of small and listed SMEs on

diversification strategy. The results show: the influence of the size of the Board, the

chairman and general of two-in-one on diversification strategy is positive. The

average age of the Board members is negative. And the proportion of independent

directors and women directors has no obvious influence on diversification strategy.

In conclusion, this article proposes to five suggestions: optimizing the size of the

Board reasonable, improving the quality and efficiency of independent directors’ work,

optimization the structure of the members’ age and the proportion of women directors,

the Board structure construction matching with the diversification strategy, and the

flexibility of the laws and regulations on the Board structure construction.

The main contributions of the article are as follows:

First of all, there is the innovation of selected topic. In the past 30 years,

domestic and foreign scholars pay more and more attention to research on Board.

However, research on the impact of Board structure on corporate strategy once was

neglected by scholars. Scholars rarely research on the relationship between the Board

and corporate strategy in the context of SMEs. Fewer scholars research on the

relationship between the Board structure and corporate diversification strategy. This

article, targeted at SMEs in China, studies on the relationship between the Board

structure and diversification strategy, better to reflect the reality of SMEs’ in China.

Secondly, there is the innovation of empirical variables selected. In the study, the

Board structure variables have included in which domestic and overseas scholars have

studied and variables rarely involved. Especially the indicator of directors’ average

age is almost not involved in previous studies. Board members in different ages hold

different views and decision-making. In theory, the work efficiency and adventurous

spirit of younger Board are better than the aging. So it is bound to affect the selection

and implementation of company’s diversification strategy. This variable included will

increase the empirical explanatory to some extent.

第一章绪论

随着市场竞争的日益加剧，中小上市公司为了发展壮大，普遍采取了多元化

战略。董事会作为公司的一种内部监督机制，其治理效率直接影响公司对多元化

战略的选择与实施效果，而董事会职能的发挥在很大程度上取决于董事会结构。

本文研究董事会人员结构的指标主要包括董事会成员人数、独立董事比例、董事

长与总经理两职设置状况、董事会成员平均年龄、女性董事比例。从这五个结构

特征出发，探讨我国中小上市公司董事会结构对多元化战略的影响。

本章是论文的绪论部分，主要介绍了论文选题背景、研究意义、研究思路、

研究方法以及可能的创新点。

第一节选题背景与研究意义

一、选题背景

近三十年来，我国市场经济迅猛发展，推动众企业纷纷采用多元化战略实现

自身持续成长与发展壮大。其中，各中小企业对多元化战略也显示出强烈的偏爱，

这与人们一般认为的由于中小企业缺乏资金、技术、管理能力等而不应采取多元

化战略所相悖。但我们从企业的成长轨迹来分析，其实并不难理解，很多大型企

业往往是通过中小企业采取多元化战略发展而来的（孟执芳、陈志军，2005）1。

例如，广东格兰仕企业自 1978 年成立以来，在公司战略层面上，先后经历了专

业化战略、纵向一体化战略、多元化战略、国际化战略、再到多元化战略的发展

历程，正是凭借这两次多元化战略实现了从以手工操作洗涤鹅鸭羽毛的小家作坊

蜕变为世界知名的家电企业（李烨、李传昭、罗婉议，2005）2。企业实施多元

化战略有许多成功的例子，也有失败的案例。而多元化战略本身并无过错，关键

在于：一是该多元化战略决策是正确合理的；二是该多元化战略能得到科学有效

地实施。

随着我国经济体制改革的发展与深入，现代企业制度已成为主流制度，因此，

在该制度框架下，如何使多元化战略成功带来经济效益便成为各中小企业所面临

的实际问题。现代企业制度最重要的特征之一是所有权与经营权的分离，导致所

有者与经营者的利益冲突，如经营者制定公司战略时的利己行为及实施过程中存

在的道德风险等。多元化战略选择并取得成功主要取决于公司治理水平，现代企
