摘要

随着行政指导这种具有柔性、灵活性特点的行政管理手段在社会生活中的广

泛应用，行政指导卡特尔作为反垄断领域面临的一个新的问题出现在各国反垄断

领域视野之下。

我国现行的《反垄断法》虽然对具有排除、限制竞争的行政垄断进行了一定

的规制，但是对形式上不具有强制性，但在实质上具有事实强制力的行政指导所

引发的卡特尔这一特殊的垄断现象却并没有针对性地做出具体、明确的规定。行

政指导卡特尔既不完全等同于行政垄断，也不完全等同于经济垄断，而是一种兼

具行政性和经济性双重属性的垄断。行政指导所具有的柔性、非强制性等形式上

的特点使得行政指导卡特尔具有很大的隐蔽性，不易被发觉。现今，行政指导涉

及社会生活的方方面面，行政指导卡特尔的表现形式也多种多样，不仅对消费者、

市场竞争者产生很大的危害,而且不利于健康有序的市场经济秩序的形成，不利于

社会主义市场经济的发展。为此，我们需要借鉴国外的经验、结合我国的具体国

情对行政指导卡特尔这一特殊的垄断现象进行有效的规制。一方面要明确规制行

政指导卡特尔的法律依据，另一方面要完善规制行政指导卡特尔的诉讼机制。

本研究意在通过对我国行政指导卡特尔的反垄断法规制研究实现以下目的：

第一，在理论价值上，进一步丰富和完善反垄断法的一般理论。以往的反垄断研

究主要集中于对经济垄断制度的抽象与概括以及对行政垄断的热议，而对于由行

政指导而引起的卡特尔现象却鲜有涉及。本文不仅对行政指导卡特尔的概念、成

因、特征等进行了分析，而且还对行政指导卡特尔与相关概念进行了比较，对国

内外对这一现象的研究进行了考察。这种分析与考察可以引发一种新的思考与探

索，提供现行反垄断的一个新视角，弥补现行反垄断理论的不足。第二，在实用

价值上，针对行政指导卡特尔这一特殊的垄断现象提出相应的反垄断建议，以期

对立法机关与执法机关制定和实施法律具有一定的参考价值。行政指导无需具有

具体、直接的法律依据,并且往往以取得相对方同意的名义实施。加之，在我国，

行政指导并不属于行政诉讼的受案范围，因而在许多情况下，无法通过法律途径

追究政府一方的责任。例如，在经济萧条的情况下，企业间订立卡特尔，控制市

场价格，显然有违公平交易，但若在相关政府的行政指导名义下订立某种垄断协

议，则企业就可以回避法律责任。在现实生活中，由于行政指导卡特尔具有行政

介入和企业行为两方面的因素，由行政指导而促成的企业之间的联合和控制市场

的行为屡见不鲜，这样的行为致使市场上的竞争减少、价格上升、质量下降，社

会主义市场经济在这样的竞争环境中很难得到健康的发展，社会主义市场经济秩

序也很难得到有效地维持。所以说，对行政指导卡特尔的反垄断规制进行研究具

有显著的实际意义。

ABSTRACT

With administrative guidance which has flexible administrative flexibility

characteristics means widely used in the social life, administrative guidance cartel as a

new antitrust problems in front of the national antitrust field .

View from our current "anti-monopoly law", although it exclude administrative

monopoly regulation restricts competition, this formality is not mandatory. In fact, with

the fact that the force of administrative guidance triggered cartel did not make a specific,

clearly defined. The administrative guidance cartel is not completely equivalent to

administrative monopoly and also is not exactly the same as the economic monopoly. In

another word administrative guidance cartel is a new monopoly both has administrative

and economic double property. Administrative guidance has flexible, non-mandatory

features which make the administrative guidance cartel has a lot of hidden features and

it is difficult for us to find the administrative guidance cartel. In addition to

administrative guidance relates to all aspects of social life, and the performance of a

variety of forms of administrative guidance cartel, which not only produce great harm to

consumers, competitors in the market, but also is not conducive to the formation of a

healthy and orderly market economic order, it is not conducive to the development of

the socialist market economy. Regulation of the administrative guidance cartel

effectively, we need to learn the advanced experience of other countries, at the same

time, combined with the specific national conditions of administrative guidance cartel in

China. If we want to regulate administrative guidance cartel effectively we should take

the following specific measures: on the one hand, to make clearly what is the legal basis

of regulating the administrative guidance cartel; on the other hand, to improve the

litigation mechanism of regulating the administrative guidance cartel.

This study is intended to achieve the following objectives: Antitrust Regulation

by the cartel of administrative guidance in theory, the content can be further enriched

and improve the general theory of the antitrust laws. Past research has focused on

antitrust abstraction and generalization of the system of economic monopoly and

administrative monopoly hot, this administrative guidance cartel rarely involved. Not

only on the concept of administrative guidance cartel, causes and characteristics of the

administrative guidance cartel but also on the administrative guidance cartel related

concepts were compared to examine the domestic and international research on this

phenomenon. This analysis and investigation can lead to a new way of thinking and

explore, point out that the current anti-monopoly a new perspective, to make up for the

lack of current antitrust theory. Practical value in our country, there is no direct legal

basis for administrative guidance, its compliance depends on the consent of the other

party, in addition to administrative guidance in our country does not belong to the scope

of the case of the administrative proceedings. So, in many cases, we are unable to

pursue the administrative side responsibilities. For example, in the case of depression,

the industry entered into a cartel to control the market price, is clearly contrary to fair

trade, but if some monopoly agreement entered into under the name of the relevant

government administrative guidance, companies can avoid liability. In the real life,

administrative intervention and enterprises behavior due to the administrative guidance

cartel has two factors, frequent between the joint enterprise facilitated by administrative

guidance and control market behavior; such conduct resulted in reduced competition on

the market, the price rise, quality. It is difficult to get the healthy development of the

socialist market economy in such a competitive environment, and it is difficult to

maintain the order of the socialist market economy effectively. Therefore, it has a

practical significance to study the antitrust regulation of the administrative guidance

cartel.

第一章绪论

第一节选题背景与国内外研究现状

一、选题背景

随着市场经济、法治社会的发展，行政指导这种柔性的、非强制性的行政管

理手段越来越受到人们的青睐，但是我国自古以来就具有行政权一权独大的历史

传统，虽然行政指导在形式上是通过指导、劝告、建议等柔性方式进行的，其实

施往往要取得相对方的同意，不具有强制性，但是，细细分析可以发现，行政指

导往往具有事实上的强制性。行政指导卡特尔在我国的产生有其必然性。让市场

在资源配置中发挥其基础作用，是我国进行经济体制改革、发展社会主义市场经

济的目标模式。行政指导卡特尔与市场经济的这一目标模式是相背离的，其不仅

损害了消费者、市场竞争者的权益，而且不利于健康有序的市场经济的发展，所

以必须对其进行有效地规制。

2008年8月1日《反垄断法》得以实施。《反垄断法》的实施对滥用行政权力，

排除、限制竞争的行政垄断进行了一定的规制，但是，其对于不具有形式上的强

制力却具有事实上强制力的行政指导引发的卡特尔现象却并没有作出有针对性

的、明确的规定。

本文正是在这样的背景下展开研究的。文章首先在概念上对行政指导卡特尔

进行了概括、研究，在此基础上将行政指导卡特尔和行政垄断、经济垄断等垄断

形式进行比较分析，进而总结出行政指导卡特尔自身所具有的特征。其次，结合

我国的具体国情，从我国行政权的特殊历史传统、利益驱使等方面，分析了行政

指导卡特尔的成因；接着，结合国内外对行政指导卡特尔进行规制的现状分析，

对我国《反垄断法》在规制行政指导卡特尔上的不足进行了分析、概括，在此基

础上，笔者针对我国的特殊国情和立法及其它方面的现状，在立法和诉讼机制等

方面进行了分析和构想，以期能够对我国规制行政指导卡特尔做出一定的贡献，

从而对促进我国经济健康、快速发展和社会进步起到一定的积极作用。

二、国内外研究现状

从笔者搜集的资料来看，日本对行政指导的研究相对来说比较具体、完善。

日本的发展模式是“市场经济+行政指导”的形式。行政指导在市场经济的发展过

程中起了很重要的作用。日本在将行政指导作为一种行政管理手段广泛应用于社
